These Terms of Service (the "Terms") are entered into between Zhongshu Huizhi Technology (Chengdu) Co., Ltd. ("we", "us") and any person accessing or using the Huizhi AI Supermart platform (the "Platform") ("you"). By registering, submitting a requirement, placing an order or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms and the Privacy Policy. If you do not agree, please stop using the Platform.
The Platform operates a hybrid first-party and third-party marketplace model:
You must provide true, accurate and complete registration and contact information and keep it current. You are responsible for safeguarding your credentials; activity under your account is deemed yours, except where caused by a security defect in our systems. Notify us immediately of unauthorised use. You may authorise employees of your organisation to use the account and remain responsible for their acts.
Product names, specifications, images, reference prices and stock status shown on the Platform are indicative only and may change with supplier adjustments, exchange-rate movements and computing-quota availability. Displayed prices are not an offer. Binding prices, specifications and delivery scope are those in our formal quotation, order confirmation and contract. If a listing contains a manifest error (for example a mispriced item), we may correct it before delivery and notify you; you may then proceed on the corrected terms or cancel for a full refund.
Submitting a requirement list or order constitutes an offer to purchase. A contract is formed at the earliest of: (1) our or the supplier's written order confirmation; (2) your completion of payment as required by the order and our confirmation of receipt; (3) execution of a written contract by both parties. Where a separate written contract is executed, its terms prevail over these Terms. We may decline an order on compliance, supply-capacity or commercial-reasonableness grounds, and will refund any amount received in full.
Delivery may take the form of account and licence issuance, API key and quota activation, software or hardware shipment, or remote or on-site implementation. Digital products are deemed delivered when the activation credentials are issued; hardware is deemed delivered when signed for by the carrier. Unless the order provides otherwise, you must complete acceptance within 5 business days of delivery; absent written objection in that period, acceptance is deemed passed. Acceptance criteria are those in the technical proposal and acceptance checklist attached to the order.
Computing, inference and quantum resources depend on third-party infrastructure and shared supply, and are subject to queuing, quota adjustments, maintenance windows and supply fluctuation. You acknowledge and agree that:
Suppliers and developers who register interest or publish products through the Platform must ensure that their credentials, title to products, technical documentation and compliance status are true and valid; that products infringe no third-party intellectual property and contain no malicious code; that they satisfy export-control, data-security and AI-regulation requirements in China and in target markets; and that they provide after-sales support as promised. We may delist products, suspend settlement and pursue remedies for breach.
You agree not to use the Platform or products obtained through it for:
Interface designs, text, graphics, trademarks, code and database rights in the Platform belong to us or the relevant rights holders. They may not be copied, modified, distributed, reverse-engineered or used commercially without written permission. Intellectual property in third-party products belongs to the supplier or its licensors, and use is governed by the accompanying licence.
You are responsible for requirement descriptions, documents and conversation content you submit, and warrant that you hold the necessary rights and that they are lawful. You grant us a limited licence to use them as necessary to perform the contract, provide support and conduct security review. AI-generated content is for reference only and may be inaccurate, incomplete or out of date; it does not constitute a technical warranty, legal advice or an offer to contract, and you should verify it before relying on it.
We are not liable for interruption or delay caused by events beyond our reasonable control, including natural disasters, war, epidemics, governmental acts, failure of basic telecommunications or power, large-scale failure of third-party infrastructure, or cyber-attacks, provided we notify you promptly and mitigate the loss. To the maximum extent permitted by law, we are not liable for indirect loss, loss of profit, loss of goodwill or loss of data, and our aggregate liability for any order shall not exceed the amount you actually paid for that order. Nothing in this clause excludes liability that cannot lawfully be excluded.
We may change, suspend or terminate parts of the service for business, compliance or security reasons. For paid orders we will give advance notice and handle delivery or refund appropriately. You may stop using the Platform and close your account at any time. If you materially breach these Terms we may restrict functionality, suspend or terminate your account, and reserve all remedies.
We give notice through announcements on the Platform, in-product messages or the email address you registered, effective on successful dispatch. You must keep your contact email valid; consequences of an invalid address are yours. Notices to us should be sent to caihui@alu.scu.edu.cn.
The formation, validity, interpretation, performance and dispute resolution of these Terms are governed by the laws of the People's Republic of China (for this purpose excluding the laws of the Hong Kong SAR, the Macao SAR and the Taiwan region). Disputes shall be resolved through friendly negotiation; failing that, either party may bring proceedings before the competent people's court in Chengdu. For cross-border transactions the parties may agree on arbitration in a written contract.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding use of the Platform; where they conflict with a separately executed written contract, the written contract prevails. The Simplified Chinese version of these Terms prevails.
